These Terms of Service ("Terms") govern your access to and use of the CruzClaw Cloud platform, website, AI employee services, virtual machine hosting, and related products (collectively, the "Services"). By using CruzClaw, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing the dashboard, or using any CruzClaw Services, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. Ownership
CruzClaw is a product of Versalence AI. CruzClaw, its name, logo, platform, and all associated intellectual property are owned and operated by Versalence AI.
3. Accounts and Security
You are responsible for:
- Providing accurate and complete account information.
- Keeping your password and API keys secure.
- All activity occurring under your account, including actions taken by your AI employees.
Notify us immediately if you suspect unauthorized access to your account.
4. Services and Acceptable Use
CruzClaw provides AI-powered virtual employees, workflow automation, and VM/container hosting.
You agree not to use the Services to:
- Violate any applicable law or regulation.
- Infringe intellectual property, privacy, or other third-party rights.
- Send spam, phishing, malware, or abusive content.
- Attack, disrupt, or overload our infrastructure, other users, or third-party systems.
- Generate, store, or distribute illegal, harmful, or hateful content.
We reserve the right to suspend or terminate accounts that violate these rules or pose a risk to our platform.
5. Plans, Credits, and Billing
CruzClaw offers subscription plans and a credit-based usage system. Plan features, resource limits, and pricing are described on the Pricing page. Key billing terms:
- Subscriptions: Billed monthly or annually. You may cancel at any time; cancellation takes effect at the end of the current billing period.
- Credits: Credits are non-refundable and may expire depending on the plan. One credit roughly equals one AI token or compute unit as defined in plan documentation.
- Overages: Exceeding your plan limits may result in additional charges or service throttling.
6. Virtual Machines and Compute
Provisioning of VMs and OpenClaw containers is subject to availability. You are responsible for the data and code you deploy inside your instances. We may restart, migrate, or suspend VMs for maintenance, security, or compliance reasons.
7. Intellectual Property
Versalence AI retains ownership of the CruzClaw platform, software, trademarks, and all related intellectual property. You retain ownership of your data and content. You grant us a limited license to host, process, and transmit your data solely to operate the Services.
8. AI Output and Use
AI-generated responses, code, and recommendations may be inaccurate or incomplete. You are responsible for reviewing and validating AI outputs before using them in production, legal, financial, or customer-facing contexts. We do not guarantee that AI outputs are error-free.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VERSALENCE AI AND CRUZCLAW SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICES.
11. Termination
You may close your account at any time. We may suspend or terminate your access if you breach these Terms or fail to pay outstanding charges. Upon termination, your data may be deleted in accordance with our data retention policies.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which Versalence AI is registered, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration or in the courts located in that jurisdiction.
13. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated by email or notice on the website. Continued use of the Services after changes constitutes acceptance.
